1. Scope & Contract Language<\/span><\/h2>\n

1.1 These Terms & Conditions (\u201cT&Cs<\/strong>\u201d) apply to all inquiries, offers, sales, deliveries, and installation services relating to floor coverings<\/strong> (e.g., carpet, parquet, wide-planks, leather floor, bespoke floor) provided by us to consumers<\/strong> and business customers<\/strong>.<\/span>
1.2 Contract language is English<\/strong>. If we also provide a German<\/strong> version, the German version governs in case of conflict for matters governed by German law<\/strong>.<\/span>
1.3 Your terms do not apply, even if not expressly rejected.<\/span><\/p>\n

2. Offers, Ordering & Contract Formation<\/span><\/h2>\n

2.1 Our quotes are non-binding<\/strong> unless expressly marked as binding and include a validity period.<\/span>
2.2 A contract is formed when you accept our offer in writing (including email) or when we confirm your order in writing.<\/span>
2.3 Minor, technically necessary deviations in shade, pattern, batch, or dimensions that are customary in the trade remain reserved.<\/span><\/p>\n

3. Prices, VAT & Payment<\/span><\/h2>\n

3.1 All prices are in EUR<\/strong>, plus VAT<\/strong> where applicable, unless stated otherwise.<\/span>
3.2 Unless agreed otherwise, a 70% deposit<\/strong> is due upon order confirmation for materials; the balance<\/strong> is due upon delivery\/installation completion.<\/span>
3.3 We accept bank transfer<\/strong>, unless otherwise agreed. You bear any fees charged by your payment provider.<\/span>
3.4 In case of late payment, we may suspend work, charge statutory default interest, and claim reasonable reminder\/collection costs as permitted by law.<\/span><\/p>\n

4. Delivery, Lead Times & Installation Dates<\/span><\/h2>\n

4.1 Delivery and installation dates are target dates<\/strong> and depend on material availability, site readiness, and access.<\/span>
4.2 We are not liable for delays due to force majeure<\/strong> (e.g., extreme weather, strikes, supplier failure, transport disruptions) or your failure to prepare the site; dates will shift reasonably.<\/span><\/p>\n

5. Site Preparation & Customer Obligations<\/span><\/h2>\n

5.1 You are responsible for site readiness<\/strong>, including: cleared rooms and unobstructed access; level, clean, dry, and load-bearing subfloors<\/strong> (per manufacturer\/industry standards); compliant moisture levels and room climate; available power and lighting and\u2014if needed\u2014ventilation. Installation is carried out in accordance with applicable DIN standards (e.g., DIN 18356\/DIN 18365)<\/strong> and manufacturer guidelines, unless agreed otherwise.<\/span>
5.2 We can provide subfloor preparation, moisture testing, and disposal services on request and for an additional charge.<\/span>
5.3 If site conditions deviate from the agreed state, we may pause works<\/strong>, document the issue, and offer remedial works at the applicable rate.<\/span><\/p>\n

6. Change Orders & Additional Works<\/span><\/h2>\n

6.1 Changes requested after order confirmation (materials, patterns, areas, edges, trims, skirting, thresholds) are additional works<\/strong> and will be quoted separately.<\/span>
6.2 Hidden conditions (e.g., moisture issues, uneven substrates) entitle us to adjust the price\/schedule after consultation.<\/span><\/p>\n

7. Retention of Title<\/span><\/h2>\n

7.1 Delivered goods remain our property<\/strong> until paid in full (Eigentumsvorbehalt<\/strong>).<\/span>
7.2 Until transfer of title, you must handle materials with care and not pledge or assign them to third parties.<\/span><\/p>\n

8. Acceptance, Defects & Warranty<\/span><\/h2>\n

8.1 After completion, we invite you to inspect<\/strong> and accept<\/strong> the works. Any apparent defects must be reported immediately<\/strong>; latent defects as soon as discovered.<\/span>
8.2 For consumers<\/strong>, your statutory rights<\/strong> under German law remain unaffected.<\/span>
8.3 For business customers<\/strong>, the limitation period for defect claims is 12 months<\/strong> from acceptance, except<\/strong> for construction works<\/strong>, goods used for a building<\/strong>, or planning\/monitoring services<\/strong> thereof; in these cases, the statutory periods (typically 5 years)<\/strong> apply. This does not affect claims based on intent, gross negligence, fraud, or injury to life\/health.<\/span>
8.4 We remedy justified defects at our choice by repair or replacement within a reasonable period. If remedy fails, you may reduce the price or\u2014where legally permitted\u2014withdraw from the contract.<\/span>
8.5 Merchants (B2B)<\/strong> must comply with Section 377 HGB<\/strong> (duty to inspect and notify defects without undue delay).<\/span><\/p>\n

9. Samples, Batches & Tolerances<\/span><\/h2>\n

9.1 Samples are illustrative<\/strong>; reasonable deviations in color, grain, texture, or pile may occur between batches and under varying light.<\/span>
9.2 For patterned installations, we follow the agreed layout; pattern repeat<\/strong> and cutting waste<\/strong> are included as calculated.<\/span>
9.3 Where you specify exact alignments (e.g., zero-offset joints<\/strong>), this must be stated in the order<\/strong>; feasibility depends on site geometry and product tolerances.<\/span>
9.4 Final billing<\/strong> is based on actual installed quantities (m\u00b2\/lfm)<\/strong> including agreed pattern repeats, cuts, and waste.<\/span><\/p>\n

10. Consumer Right of Withdrawal (Distance Contracts)<\/span><\/h2>\n

10.1 If you are a consumer<\/strong> and conclude a distance contract<\/strong> (e.g., via email\/phone\/website), you normally have a 14-day right of withdrawal<\/strong> under EU law.<\/span>
10.2 Exceptions:<\/strong> The right of withdrawal does not apply<\/strong> to goods made to your specification or clearly personalized <\/strong>(e.g., custom-cut, special-order materials, bespoke finishes).<\/span>
10.3 Services started during the withdrawal period:<\/strong> If you explicitly request that we begin services before the 14-day period expires and acknowledge that you will lose your right of withdrawal<\/strong> upon full performance, you will owe reasonable costs<\/strong> for services already provided if you later withdraw before completion.<\/span>
10.4 We provide the legally required Withdrawal Policy<\/strong> and the Model Withdrawal Form<\/strong> at \/withdrawal-policy<\/strong> and \/withdrawal-form<\/strong>. Please review these before placing an order.<\/span><\/p>\n

11. Liability<\/span><\/h2>\n

11.1 We are liable without limitation for intent<\/strong> and gross negligence<\/strong>, for injury to life, body or health<\/strong>, and under mandatory product-liability<\/strong> laws.<\/span>
11.2 For slight negligence<\/strong>, we are liable only for breaches of essential contractual duties<\/strong> (cardinal obligations); in that case, liability is limited to the foreseeable damage typical for the contract<\/strong>.<\/span>
11.3 Your statutory rights as a consumer remain unaffected.<\/span><\/p>\n

12. Photos, References & Intellectual Property<\/span><\/h2>\n

12.1 With your consent (or where permitted by law), we may photograph<\/strong> finished projects and show them\u2014without personal data\u2014as references<\/strong> (website, portfolio, social media).<\/span>
12.2 Plans, drawings, layouts, and texts we create remain our intellectual property<\/strong> unless transferred by separate agreement.<\/span><\/p>\n

13. Data Protection<\/span><\/h2>\n

We process personal data according to our Privacy Policy<\/strong> (see \/privacy-policy<\/strong>). That policy forms part of these T&Cs.<\/span><\/p>\n

14. Third-Party Links & Tools<\/span><\/h2>\n

Third-party services (e.g., map services, video platforms, payment providers) are governed by their own terms. We are not responsible for their content or availability.<\/span><\/p>\n

15. Governing Law & Jurisdiction<\/span><\/h2>\n

15.1 These T&Cs are governed by German law<\/strong> (excluding the UN CISG).<\/span>
15.2 For business customers who are merchants within the meaning of the German Commercial Code (HGB)<\/strong>, or a legal entity under public law or a special fund under public law, the exclusive jurisdiction<\/strong> is our registered office<\/strong>. For consumers, the statutory places of jurisdiction apply; mandatory consumer-protection rules of your home country remain unaffected.<\/span><\/p>\n

16. Severability<\/span><\/h2>\n

If any provision of these T&Cs is or becomes invalid, the remaining provisions remain in force. The invalid provision will be replaced by a valid one closest to the economic intent.<\/span><\/p>\n

17. Changes to these T&Cs<\/span><\/h2>\n

We may update these T&Cs to reflect legal, technical, or business changes. The version date<\/strong> at the top applies. Material changes will be communicated in a suitable manner.<\/span><\/p>\n
